1. Scope of Engagement
Automex operates as an independent software systems architecture studio. Services, project milestones, deliverables, timelines, and payment terms are formally defined in individual Statement of Work (SOW) agreements executed prior to project commencement.
2. Codebase Ownership & IP
Unless otherwise specified in an active SOW, upon receipt of final milestone payment, full intellectual property and repository rights for custom code written specifically for the client are transferred completely to the client. Automex retains rights to underlying general-purpose utilities, starter boilerplates, and open-source tooling.
3. Client Responsibilities & API Keys
Clients must provide timely access to necessary third-party API credentials, staging infrastructure, and designated decision-makers. API expenses incurred during model execution (e.g. Anthropic, OpenAI, cloud compute) remain the financial responsibility of the client.
4. AI Reliability & Guardrails
While Automex implements rigorous guardrails, schema enforcement, and error-handling pipelines, generative AI models possess non-deterministic characteristics. Automex explicitly designs systems with human-in-the-loop review mechanisms for high-consequence operations.
